Provision 272
The agency is a contract by which the agent performs the legal action on behalf of the client.
The commercial agency, although it contains an absolute power of attorney, it takes care of the business, unless expressly agreed otherwise.
If the commercial agency is assigned a particular work, the agent must have the power to accomplish the related and necessary works.
Provision 273
The service of commercial agency shall be performed against a wage, unless otherwise agreed. The agent while implementing the commercial agency must pay the attention like a normal trader. If it was agreed to pay the wage to the commercial agent, the wage shall not be subject to the discretion of the court. If this wage was not in the agreement, it shall be determined according to the wage prevailing in the profession or according to the custom. It shall be determined by the court if there is no custom or prevailing wage.
The agent shall deserve the wage as soon as the deal to perform the task was concluded. If he could not conclude the deal due to any reason he shall refer to the client. In other than these two cases the agent shall deserve a compensation only for the efforts he made in accordance with the custom. The court shall determine the compensation if there is no custom.
Provision 274
The agent cannot be represented by other in the implementation of the representation, unless he is authorized to do so by the client.
If the agent has been permitted to make his deputy without the appointment of a deputy, the agent shall be responsible only for his mistake in the selection of deputy or for his mistake in issuing the instructions to him.
In the case of the permission for the agent to appoint his deputy according to the rule of the preceding paragraph, each of the client and vice-agent shall have the right of recourse directly to each other.
Provision 275
The agent must adhere to the peremptory instructions issued to him by the client; otherwise he shall be responsible for the damage resulting from that. In case of the guiding instructions issued to him by the client, the agent shall have the freedom of action and respect regarding the guiding instructions as required by the circumstances of the implementation of the representation.
If the agent found that the implementation of the representation according to the peremptory instructions issued to him by client shall cause serious damage to the latter, the agent has to defer the implementation of the representation until it is reviewed by the client.
